This Recipient League Agreement for Sponsored Scoreboards (the “Agreement”) is entered into by and between Score Titan, of Toronto, Ontario (“Score Titan”), and the Recipient League (“Recipient League”) upon notification that the Recipient League has been selected to receive one or more Sponsored Scoreboards. The Recipient League is defined as the specific organization named in the application form, as represented by its authorized applicant. This Agreement applies only to the named Recipient League and does not extend to any broader organization to which the organization may belong. Score Titan and the Recipient League may be referred to individually as a “Party” or collectively as the “Parties.

1. Purpose of Agreement

The purpose of this Agreement is to outline the terms under which Score Titan will provide portable scoreboards bearing sponsor branding (the “Sponsored Scoreboard”) to the Recipient League for use during the 2025 season.

2. Scope of Recipient Team’s Obligations

2.1 Use of Sponsored Scoreboard
The Recipient League agrees to distribute the Sponsored Scoreboards among its member teams and ensure that they are used as an integral part of league-sanctioned games during the 2025 season.

2.2 Display and Maintenance of Sponsor Branding
The Recipient League shall ensure that the branding applied to the Sponsored Scoreboards, as provided by Score Titan or its sponsors, remains visible, unobstructed, and in good condition throughout the season. Any damage or wear affecting the legibility or appearance of the sponsor’s branding must be promptly reported to Score Titan.

2.3 Restrictions on Modifications
The Recipient League agrees that neither the league nor its member teams shall modify, alter, or add additional branding, logos, or advertisements to the Sponsored Scoreboards without prior written approval from Score Titan.

2.4 Sponsor Acknowledgment
To recognize and thank the sponsor for their support, the Recipient League agrees to share:

• One (1) photo of a Sponsored Scoreboard in use during a game, and
• One (1) photo featuring a Sponsored Scoreboard with a team (e.g., pre-game, post-game, or team event).

These photos shall be submitted via email to Score Titan at sponsorships@scoretitan.com or shared via social media with a tag or mention of Score Titan and the scoreboard sponsor. By submitting these images, the Recipient Team grants Score Titan and the sponsor a non-exclusive, royalty-free license to use the photos for acknowledgment and promotional purposes.

3. Responsibilities of Score Titan

3.1 Delivery
Score Titan shall coordinate the delivery of each allocation of Sponsored Scoreboards to the Recipient League at mutually agreed locations and times. The Recipient League acknowledges that additional allocations may be made available to the league, depending on sponsorship availability.

Each allocation will be documented in a written Allocation Record, maintained by Score Titan and provided to the Recipient League. The Allocation Record shall include:

• The number of Sponsored Scoreboards provided in that allocation.
• The date of allocation to the Recipient League.
• The sponsor associated with that allocation.
• Any specific sponsor-related branding or usage requirements.

The Recipient League agrees to review and confirm or deny receipt of each allocation via email or another documentation method requested by Score Titan.

3.2 Scoreboard Administration
Score Titan will designate an Organization Administrator (“Org Admin”) within the Recipient League to manage the Sponsored Scoreboards’ distribution and usage. The Org Admin will have the ability to assign Sponsored Scoreboards to specific teams within the league and designate Scoreboard Administrators (“Scoreboard Admins”) for each recipient team.

Once assigned, Scoreboard Admins shall ensure compliance with this Agreement and proper operation of the Sponsored Scoreboards within their respective teams.

4. Terms of Use

4.1 Exclusive Use
The Recipient League agrees to use the Sponsored Scoreboards exclusively for its own team-related games throughout the season. The Recipient League shall not lend or otherwise provide the Sponsored Scoreboards to other teams or organizations unless specifically authorized in writing by Score Titan.

4.2 Care and Custody
The Recipient League and its members agree to exercise reasonable care in the custody and use of the Sponsored Scoreboards, refraining from any actions that may result in damage, deterioration, or unauthorized use.

5. Term and Return of Sponsored Scoreboard

5.1 Term
This Agreement will commence on the date of agreement signing and remain in effect until November 30, 2025 (the “Term”), unless terminated earlier as specified in this Agreement.

5.2 End of Term Options and Obligations
At the end of the Term, the Sponsored Scoreboard will be taken out of service, and the Recipient League agrees to cease all use of it. The Recipient League will have the following options at the end of the Term:

1. Apply for Sponsorship Renewal: The Recipient League may apply to receive Sponsored Scoreboards for the following season. Score Titan will attempt to match the league with a new sponsor but does not guarantee sponsorship renewal. If no sponsor is available, the league may choose an alternative option below.
2. Purchase Option: The Recipient League may purchase the scoreboards and their accessories at a reduced price as specified by Score Titan.
3. Return: The Recipient League may return all Sponsored Scoreboards and accompanying accessories to Score Titan. If selecting this option, the league must ensure return no later than November 30, 2025.

If the Recipient League uses the Sponsored Scoreboards for the following season, it agrees to replace the sponsor branding on the scoreboards as instructed by Score Titan.

At the end of the Term, the Recipient League will be notified via email regarding available options. The Recipient League must confirm its selection (renewal, purchase, or return) by the specified deadline. Failure to provide a response may result in automatic selection of the return option, requiring the Recipient Team to return the Sponsored Scoreboards by November 30, 2025.

5.3 Early Termination
Score Titan reserves the right to terminate this Agreement or any individual sponsorship allocation before the end of the Term if the Recipient League or its teams fail to comply with any obligations hereunder, or if Score Titan’s sponsor withdraws or terminates its sponsorship early.

• Recipient League Non-Compliance: If early termination is due to Recipient League’s non-compliance, the Recipient League shall promptly cease use of the Sponsored Scoreboard and return it and any accompanying accessories to Score Titan.
• Sponsor Early Termination: If the termination is due to sponsor withdrawal, the Recipient League shall follow Score Titan’s instructions regarding continued use or return of the Sponsored Scoreboard.

6. Indemnification and Limitation of Liability

6.1 Indemnification by Recipient League
The Recipient League agrees to indemnify and hold harmless Score Titan, its officers, directors, and agents, from any liabilities, claims, or damages arising out of the Recipient League’s use of the Sponsored Scoreboard or failure to comply with the terms of this Agreement.

6.2 Limitation of Liability
Score Titan shall not be liable for any indirect, incidental, or consequential damages related to the use or functioning of the Sponsored Scoreboard. In no event shall Score Titan’s liability under this Agreement exceed the actual cost of the Sponsored Scoreboard.

7. Miscellaneous Provisions

7.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of laws principles.

7.2 Amendments
Score Titan may update this Agreement when necessary due to legal, operational, or sponsorship-related changes. If an amendment materially affects an existing agreement, Score Titan will notify affected Recipient League.

7.3 Entire Agreement
This Agreement constitutes the entire agreement between the Parties concerning the Sponsored Scoreboard, superseding any prior agreements, understandings, or representations.

7.4 Notices
All notices related to this Agreement, including updates or modifications, will be provided electronically. Score Titan may notify Recipient League via email or by posting updates to the terms on its website. It is the responsibility of the Recipient League to review such communications as they are made available.
