These Terms and Conditions (“Agreement”) govern participation in the Score Titan Showcase Affiliate Program (the “Program”) offered by Score Titan (“Score Titan”, “we”, “our”, or “us”). By signing this Agreement and participating in the Program, the participating organization (“Partner”, “you”, or “your”) agrees to the following:

1. Eligibility

The Program is available to select sports facilities, leagues, or organizations approved by Score Titan.

2. Program Benefits 

The following benefits and performance conditions apply during the initial six-week trial period:

2.1 Equipment Provided 

Score Titan shall provide the Partner with the following promotional and functional materials:

1. One Score Titan portable scoreboard, including a branded billboard;
2. One laminated promotional sign, featuring a custom QR code and discount code linked to Score Titan’s website.
   
   

2.2 Customer Incentive 

Customers who purchase a scoreboard using the Partner's discount code during the trial will receive a 5% discount on their purchase.

2.3 Performance Outcomes 

The Partner's continued participation and retention of the scoreboard are contingent upon sales performance during the trial period:

If seven (7) or more scoreboard purchases are made using the Partner's code:

• Ownership of the scoreboard transfers to the Partner; and
• The Partner is automatically enrolled in the Score Titan Affiliate Program.

If five (5) to six (6) purchases are recorded:

The Partner may request a one-time, two-week extension to meet the required threshold.

• If fewer than five (5) purchases are recorded:
• The Partner shall return the scoreboard to Score Titan in its original packaging using a tracked shipping method, with associated shipping costs borne by the Partner.
  
  

3. Commission Eligibility and Payment

Following enrollment in the Affiliate Program:

• Upon meeting the criteria outlined in Section 2.3, the Partner is immediately eligible to accrue commissions under the Score Titan Affiliate Program.
• Commissions will be calculated at a fixed rate of 5% of net sales attributed to the Partner’s discount code.
• Commission payments will be issued on a quarterly basis, accompanied by a report detailing attributed sales.

4. Promotional Expectations

Partner agrees to actively promote Score Titan throughout the Program term, including but not limited to:

• Displaying the scoreboard and signage at all hosted games and events;
• Encouraging event attendees to scan the QR code and use the provided discount code;
• Sharing Program information via the Partner’s website, email communications, and social media channels;
• Ensuring Score Titan branding is visible, unaltered, and well-maintained.

5. Ownership and Use Conditions

• Score Titan retains full ownership of the scoreboard unless and until the sales threshold is met;
• The scoreboard is loaned solely for the purposes of this Program and remains the property of Score Titan until ownership is formally transferred in accordance with Section 2.3;
• Any failure to return the scoreboard following a failed trial or terminated agreement may be treated as misappropriation of property, and Score Titan reserves the right to pursue legal remedies, including reimbursement of the full retail value and associated collection or legal costs.
• Partner is responsible for reasonable care of the equipment during the trial.
• No modification, rebranding, resale, or lending of the scoreboard is permitted during the trial without prior written consent from Score Titan.
  
  

6. Term and Termination 

6.1 Term

This Agreement shall be effective upon scoreboard delivery and will continue through December 31, 2025, unless terminated earlier.

6.2 Termination: Either Party may terminate this Agreement:

• For cause, immediately upon a material breach by the other Party that is not cured within seven (7) days of written notice; or
• For convenience, by providing ten (10) days’ written notice to the other Party.

6.3 Effect of Termination: Upon termination, Partner must return the scoreboard within ten (10) business days, unless ownership has transferred.

7. Limitation of Liability
In no event shall either Party be liable for indirect or consequential damages. Score Titan’s liability shall not exceed the fair market value of the loaned scoreboard.

8. Program Modifications Score Titan reserves the right to revise, suspend, or terminate the Program and its terms upon providing reasonable notice to the Partner. Partners will remain entitled to any commission payments accrued up to the effective date of such changes, payable in accordance with Section 3.
