These Terms and Conditions (“Terms”) govern participation in the Score Titan Affiliate Program (the “Program”) offered by Score Titan Inc. (“Score Titan”, “we”, “our”, or “us”). By applying and participating in the Program, the applying organization (“Organization”, “you”, or “your”) agrees to the following:

1. Eligibility and Application
The Program is open to youth baseball and softball leagues or clubs. Score Titan will review each application and approve or decline it based on internal criteria, including program availability, regional alignment, and strategic considerations.

2. Program Benefits
Upon acceptance, the Organization will receive a unique discount code valid for 5% off scoreboard purchases made by teams affiliated with the Organization. During the first seven (7) days following Program launch, referred to as “Launch Week,” affiliated teams that place orders will also receive free custom team branding on their scoreboard.

All orders are subject to product demand and availability. 

3. Use of Discount Code
The discount code is exclusive to the Organization and intended solely for its affiliated teams. Score Titan reserves the right to restrict or deny the use of the code by any team not verified as part of the Organization.

4. Commissions and Threshold Requirement
Organizations will accumulate commissions based on net sales generated through their assigned discount code. Commissions become payable once five (5) or more scoreboards have been sold using the Organization’s code during the Program term.

Once that five-sale threshold is reached, the Organization will have two options:

• Receive commission payments, issued on a quarterly basis; or
• Apply commissions as increased discounts for affiliated teams instead of receiving a payout.
  

Organizations can choose the option that best supports their goals, and may change their preference during the Program by notifying Score Titan.

5. Payout Timing
Commissions will be paid out on a quarterly basis. Each payout will include a summary report detailing the sales attributed to the Organization’s discount code during that period.

6. Promotional Expectations
The Organization agrees to actively promote the Score Titan Program throughout the term. This includes promotion via the Organization’s website, email communications, and social media platforms. Score Titan will provide marketing materials and support to assist in these promotional efforts.

7. Term and Termination
The Program and its Terms will remain in effect from the date of digital acceptance(“Effective Date”) through October 31, 2025 (“End Date”). Score Titan reserves the right to revise or terminate the Program at any time, provided reasonable notice is given to participating Organizations. In the event that the Program is terminated prior to the End Date, Organizations will remain entitled to any outstanding commission payments earned up to the date of termination. These payments will be processed according to the standard payout schedule.

8. General Provisions
Participation in the Program does not create any agency, partnership, or joint venture between Score Titan and the Organization. Score Titan is not liable for any indirect or consequential damages related to participation in this Program. These Terms are governed by and construed in accordance with the laws of the Province of Ontario.

9. Consent and Agreement
